1. Use of the service

Kaddye provides an eIDAS-compliant electronic signing platform that lets businesses send documents for signature and collect Simple (SES) and Advanced (AES) electronic signatures. The service is intended for business use only; it is not offered to consumers, and you may not enter into these terms as a consumer. Use of the service requires creating an account and accepting these terms. You must be at least 18 years old to create an account and use the service. By creating an account or using the service you confirm that you are acting in the course of a trade, business or profession and that you are authorised to enter into these terms on behalf of yourself or the organisation you represent.

2. Legal validity of signatures

Signatures created through Kaddye are designed to comply with eIDAS and, depending on the method chosen (SES or AES), carry the corresponding legal effect across EU/EEA member states. Signing with eIDs helps you meet your industry’s requirements.

  • Advanced electronic signatures (AES), created via national eID schemes such as MitID, are sealed in the PAdES format, including the PAdES B-LTA long-term archival profile - an embedded cryptographic signature with a trusted timestamp and validation data, so the signature remains verifiable over time.
  • Simple electronic signatures (SES), created by typing, drawing or uploading a signature, are accompanied by a Kaddye-generated signature page recording the signer, method, time and a SHA-256 hash of the document. They are valid simple electronic signatures under eIDAS but are not PAdES or LTA signatures.
  • The legal weight of a signature depends on the signing method you select. You are responsible for choosing a method appropriate to each document and its risk.
  • Kaddye does not provide legal advice. Whether a given signature is sufficient or enforceable for a particular agreement, jurisdiction or counterparty is your responsibility to assess, where necessary with your own legal counsel.
  • Kaddye is built for European law. We make no claim of compliance with the U.S. UETA or ESIGN Act, or with the laws of jurisdictions outside the EU/EEA.

3. Identity verification and third-party providers

Certain signing and identification methods rely on third-party electronic identity providers (for example MitID, BankID, FTN, itsme, IDIN, Smart-ID and other notified eID schemes) and document-verification services.

  • These providers operate under their own terms, and their availability, accuracy and performance are outside Kaddye’s control.
  • Kaddye is not responsible for the acts, omissions, downtime or verification decisions of third-party identity providers.

4. Audit trail and evidence

Kaddye records the events associated with each case file (such as creation, viewing, identification and signing) to produce an audit trail and evidence package.

  • We take reasonable care to ensure these records are accurate and complete, but we do not guarantee that they will be accepted as conclusive evidence in any particular proceeding.
  • You are responsible for retaining your own copies of signed documents and evidence packages where your records-retention obligations require it.

5. Your obligations

You agree to:

  • Provide accurate and up-to-date information when creating an account and when sending documents.
  • Use the service only for lawful purposes and only for documents you have the right to send and have signed.
  • Ensure you have a lawful basis under the GDPR for sending personal data of signers and recipients through the service, and have provided them with any notices required.
  • Not use the service for any fraudulent, misleading or unlawful document, or in a way that infringes the rights of others.
  • Keep your account credentials secure, accept responsibility for activity carried out through your account, and notify Kaddye promptly of any unauthorised access or use.

6. Your content and ownership

You retain all ownership rights in the documents and other materials you upload, create, send or sign through the service (“Your Content”). Kaddye claims no ownership of Your Content.

  • You grant Kaddye only the limited rights needed to host, process, transmit and store Your Content in order to provide the service, including producing audit trails and evidence packages.
  • You are solely responsible for the legality of Your Content and confirm that you hold all rights, licences and permissions necessary to use it and to send it to your signers and recipients.
  • Kaddye grants you a limited, non-exclusive, non-transferable right to use the service for your own business purposes in accordance with these terms.

7. Data protection

When you process personal data through the service - for example the personal data of your signers and recipients - you act as the data controller and Kaddye acts as your data processor. This processing is governed by our Data Processing Agreement (DPA), which is incorporated into these terms; by accepting these terms you also accept the DPA. How Kaddye handles personal data for which it is itself the controller is described in our Privacy Policy.

  • You are responsible for having a lawful basis under the GDPR for the personal data you process through the service.
  • You are responsible for the content of the documents you upload. If you include special categories of personal data (Article 9 GDPR, such as health, biometric or similar data), you confirm that you have a valid lawful basis for doing so.

8. Pricing and payment

The service is offered on a pay-as-you-go basis (purchasing case files as needed) and on a Pro subscription (a flat monthly or annual fee). Current prices are shown on our website. Unless otherwise agreed, prices are in DKK and exclusive of VAT.

  • Subscription fees are billed in advance for the chosen billing period.
  • Subscriptions renew automatically for successive periods of the same length unless cancelled before the end of the current period. You can cancel at any time from your workspace settings (see section 10).
  • Purchased case files and paid subscription periods are non-refundable except where required by applicable law.
  • We may change prices with reasonable notice; changes do not affect a billing period already paid for and take effect from the next renewal.

9. Fair use

Where a plan is described as offering unlimited case files, “unlimited” is subject to fair and reasonable use. The service is intended for your own signing needs - not, for example, for reselling, sharing across unrelated organisations, or automated bulk sending that materially degrades the service for other users. We may review, limit or suspend accounts whose usage is abusive or substantially exceeds normal business use, with notice where practicable.

10. Cancellation and retention

You may cancel a subscription at any time from your workspace settings, effective at the end of the current billing period. After cancellation, your audit trails and evidence packages remain exportable for 12 months, after which they will be deleted. You are responsible for exporting any records you wish to keep within that period.

11. Confidentiality

Each party may receive confidential information of the other in connection with the service. Each party will keep the other’s confidential information confidential, use it only as needed to provide or use the service, and protect it with reasonable care. This obligation does not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known to it, is independently developed, or must be disclosed by law (with notice to the other party where permitted). Kaddye’s handling of personal data is governed by section 7 and the DPA.

12. Limitation of liability

The service is provided “as is” and “as available”, without warranty of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement.

To the maximum extent permitted by law, Kaddye is not liable for any loss or damage, whether direct or indirect, and in particular is not liable for any indirect, incidental, consequential, special or punitive damages, or for loss of profits, revenue, goodwill, business or data, arising from or in connection with:

  • Errors, omissions or rejected enforceability of any signature or document;
  • Your choice of an inappropriate signing method, or your failure to verify a signer or document;
  • The acts, omissions or unavailability of third-party identity or verification providers;
  • Technical errors, downtime or unavailability of the system; or
  • Loss of data not exported within the retention period described in section 10.

To the maximum extent permitted by law, Kaddye’s total aggregate liability arising out of or in connection with the service and these terms, regardless of the form of the claim, shall not exceed the total amount you paid to Kaddye for the service in the twelve (12) months immediately preceding the event giving rise to the claim. This cap does not limit your payment obligations or your obligations under section 13 (Indemnification).

Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, intentional misconduct, death or personal injury.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless Kaddye, its officers, employees and suppliers against any claims, damages, losses, liabilities and reasonable costs (including legal fees) brought by a third party and arising out of or in connection with:

  • Your use of the service;
  • Any document you send, sign or process through the service;
  • Your breach of these terms or of any applicable law; or
  • Your infringement of the rights of any third party, including signers and recipients.

14. Availability and changes to the service

We aim to keep the service available but do not guarantee uninterrupted access. We may modify, suspend or discontinue features with reasonable notice.

15. Force majeure

Kaddye is not liable for any failure or delay in performing its obligations to the extent caused by events beyond its reasonable control, including failures of third-party identity providers, internet or hosting infrastructure, power or telecommunications, natural disasters, or acts of government. Kaddye will take reasonable steps to resume performance as soon as practicable.

16. Termination

You may stop using the service at any time. Kaddye may suspend or terminate your access if you breach these terms, with reasonable notice where practicable, or immediately in cases of unlawful use or risk to the service or other users.

17. Changes to these terms

Kaddye may update these terms from time to time. Where changes are material, we will notify you in advance, for example by email to your account address or by notice within the service. The latest version is always available on our website, and continued use of the service after changes take effect constitutes acceptance.

18. Notices

Kaddye may send you notices relating to the service or these terms by email to the address associated with your account or by notice within the service; such notices are deemed received when sent. You may send legal notices to Kaddye by email to alex@kaddye.com or by post to Kaddye ApS, Boyesgade 12, 3th, 1822 Frederiksberg, Denmark.

19. General

These terms constitute the entire agreement between you and Kaddye regarding the service and supersede any prior understandings or agreements relating to it.

  • If you and Kaddye have signed a separate written agreement or order form for the service, that agreement prevails over these terms to the extent of any conflict; these terms prevail over any conflicting term in a purchase order or similar document you issue.
  • If any provision of these terms is held to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • You may not assign or transfer these terms without Kaddye’s prior written consent. Kaddye may assign these terms to an affiliate or in connection with a merger, acquisition or sale of assets, on notice to you.
  • Our failure to enforce any right or provision of these terms is not a waiver of that right or provision.
